MEMOKET PAYMENT TERMS

Payment, Subscription, Billing, Refund, and Hardware Payment Terms

1. Scope

These Memoket Payment Terms (the "Payment Terms") govern payments, subscriptions, billing, renewals, cancellations, refunds, taxes, payment failures, promotional offers, hardware-payment interactions, and related commercial matters for Memoket products and services.

These Payment Terms supplement Memoket's existing user terms or other applicable terms. For purchases made through Apple App Store, Google Play, Shopify, or another third-party checkout provider, the applicable store or checkout provider may control payment processing, subscription management, cancellations, refunds, taxes, and related operational rules for that purchase channel.

These Payment Terms do not address general acceptable use, privacy, data processing, recording consent, AI output, intellectual property, or other non-payment matters.

3. Account Owner and Billing Responsibility

For individual subscriptions, the Memoket account holder or app-store account holder that starts the subscription is responsible for the charges associated with that subscription. You agree to provide accurate billing information and keep your payment method, billing email, and relevant account information current.

Team, workspace, seat-based, enterprise, invoice-based, purchase-order, reseller, and statement-of-work billing are not addressed in these consumer Payment Terms unless Memoket separately launches and documents those programs.

4. Payment Methods and Processor

Memoket accepts payments through Apple App Store, Google Play, and Shopify where those channels are available. Available cards, wallets, local payment methods, and other payment options are determined by the applicable store or checkout page at the time of purchase.

Payments are processed by Apple, Google, Shopify, or their payment-service providers, as applicable to the purchase channel. By submitting payment information through a purchase flow, you authorize the applicable provider and Memoket, where applicable, to charge the fees, taxes, and other amounts shown for the relevant Paid Offering.

Memoket does not control all payment processing rules imposed by banks, card networks, app stores, payment processors, or other third-party payment providers.

5. Subscription Billing and Auto-Renewal

Paid app subscriptions purchased through Apple App Store or Google Play generally renew automatically unless canceled before the renewal date through the applicable store's subscription-management process. Hardware promotional entitlements, free trials, beta access, and any permanent or non-renewing entitlements may follow different rules if shown in the applicable purchase flow.

Available subscription periods are monthly and yearly, where offered. Renewal dates, time zones, grace periods, price-change notices, and any proration are determined by the applicable store, checkout provider, or Memoket service logic shown to the user at purchase or renewal.

Memoket does not currently state consumer invoice due dates such as Net 15 or Net 30 in these Payment Terms.

6. Free Trials and Trial Conversion

Memoket may offer free trials or introductory offers through Apple App Store, Google Play, Shopify, or another purchase flow. Trial duration, eligibility, required payment method, available features, geographic availability, and conversion rules are shown in the applicable offer or store listing.

If a trial requires a payment method, the subscription may convert to a paid subscription when the trial ends unless you cancel before the deadline shown by the applicable store or purchase flow.

If a trial ends without conversion, access may be downgraded, limited, paused, or ended according to the plan and entitlement state maintained by Memoket's service.

7. Taxes

Taxes, including sales tax, VAT, GST, customs duties, import fees, and similar charges, may be calculated and charged by Apple, Google, Shopify, or the applicable checkout provider. Unless the purchase flow states that prices include taxes, customers are responsible for taxes and similar charges associated with their purchase.

Memoket does not currently provide a separate consumer tax-exemption workflow in these Payment Terms.

8. Failed Payments, Grace Periods, and Access Changes

If a payment fails, is declined, is reversed, or cannot be verified, the applicable store or payment provider may retry the payment, request updated payment information, place the subscription in a grace period, or stop renewal according to its own rules. Memoket may display renewal-verification or payment-update prompts and may limit, downgrade, pause, or end paid access if the subscription becomes lapsed or unpaid.

Grace periods, retry schedules, notices, and suspension timing may vary by purchase channel, payment provider, and subscription state.

9. Cancellations

You must cancel Apple App Store subscriptions through Apple's subscription settings and Google Play subscriptions through Google Play's subscription-management flow. Shopify or web purchases may be canceled through the applicable checkout/customer account flow or by contacting Memoket if self-service cancellation is unavailable.

Deleting your Memoket account or uninstalling the Memoket app does not automatically cancel an Apple App Store or Google Play subscription. You must cancel the subscription through the applicable store to stop future renewal charges.

Unless the applicable store or purchase flow states otherwise, cancellation stops future renewals and does not immediately revoke paid access for the current paid period. You may generally continue using paid features until the end of the then-current billing period, subject to store rules and applicable law.

Canceling a subscription does not automatically cancel outstanding hardware orders, unpaid charges, charges already incurred, or hardware-related promotional entitlements unless the applicable purchase flow or hardware terms state otherwise.

10. Refunds

Refund handling depends on the purchase channel and product type.

Apple App Store purchases: refund requests must generally be submitted through Apple's refund process, and Apple's rules determine whether a refund is available.

Google Play purchases: refund requests must generally be submitted through Google Play's refund process, and Google's rules determine whether a refund is available.

Shopify or web digital subscription purchases: refund availability, if any, follows the refund terms shown at checkout or confirmed by Memoket support.

Gem hardware or pre-sale purchases: hardware refunds and returns follow Memoket's applicable hardware Refund Policy. The policy provides a 30-day return window after receipt for hardware, with approved refunds returned to the original payment method and usually processed within 10 business days; if more than 15 business days have passed after approval, customers may contact hello@memoket.ai.

Memoket may guide customers to the correct refund channel but may not be able to approve or issue refunds for transactions controlled by Apple, Google, Shopify, banks, or other third-party payment providers.

11. Upgrades, Downgrades, and Plan Changes

Plan changes made through Apple App Store or Google Play are handled according to the applicable store's rules and the subscription state returned to Memoket by that store.

For Google Play, an upgrade may take effect immediately, with Google applying unused value from the current plan toward the upgraded plan and charging any applicable difference. Google Play downgrades and switches between monthly and yearly plans in the same tier may take effect on the next renewal date. Apple plan changes depend on App Store rules and Memoket's service-side entitlement result.

Memoket does not currently state automatic cash credits or refunds for unused time when a customer downgrades, removes a plan, or changes billing periods, unless the applicable store, purchase flow, or law requires otherwise.

12. App Store, Google Play, and Shopify Billing

Native in-app subscriptions are currently offered through Apple App Store and Google Play. Shopify is a web checkout channel and is not treated as an in-app purchase channel in these Payment Terms.

For store-billed purchases, billing, renewal, cancellation, refund, tax, payment-failure, family-sharing, and account-transfer behavior may be governed by the applicable store's rules in addition to these Payment Terms.

Memoket may be unable to cancel, refund, or modify marketplace-billed subscriptions directly where the marketplace controls those actions.

13. Promotions, Discounts, Early-Bird Offers, and Special Entitlements

Memoket may display promotional prices, discounts, coupons, introductory offers, or hardware early-bird/pre-sale offers in the applicable purchase flow. Unless the offer expressly states otherwise, promotional pricing applies only for the stated promotional period and may renew at the then-current price shown by the applicable store or checkout provider.

These Payment Terms do not create any lifetime, founding-member, referral, legacy, or long-term beta pricing entitlement unless Memoket expressly states that entitlement in writing in the applicable offer.

14. Gem Hardware Purchases and Subscription Interaction

Gem hardware may be sold through Memoket's website or another checkout flow, and may include a promotional software entitlement such as one year of Memoket Pro when stated in the applicable offer. Hardware price, included subscription period, shipping charges, taxes, import duties, delivery timing, and return terms are shown at checkout or in the applicable hardware terms.

No installment, financing, or third-party hardware financing program is stated in these Payment Terms unless shown in the applicable checkout flow.

The treatment of bundled software entitlements may depend on activation, redemption, account association, device association, return, cancellation, replacement, transfer, or loss of the hardware device, as described in the applicable purchase flow or hardware terms.

15. Receipts, Billing Records, and Payment Disputes

Apple and Google receipts are generally provided by the applicable store. Shopify receipts or order confirmations are provided through the web checkout or customer-support flow. Memoket's in-app Billing History may show entitlement periods or subscription status, but it may not be a formal tax invoice or payment receipt.

If you believe a charge is incorrect, contact Memoket support or the applicable store/payment provider with the account identifier, charge date, amount, payment channel, and a description of the issue. Memoket will review payment disputes reasonably and may request additional information.

Chargebacks, reversals, or payment-provider disputes may result in order review, temporary limitation of disputed paid entitlements, or requests for additional verification while the dispute is investigated. Memoket will not treat a payment dispute as an automatic permanent account termination unless allowed by applicable terms and law.

16. Currency and Foreign Exchange

Prices and currencies may vary by purchase channel, region, store account, and checkout provider. Apple and Google may localize currency and pricing through their stores; Shopify prices and currencies are determined by the web checkout configuration. The price and currency shown at checkout control the purchase.

Banks, card issuers, app marketplaces, and payment processors may impose foreign exchange rates, conversion fees, or cross-border transaction fees that are outside Memoket's control.

17. Changes to Fees, Plans, and Payment Terms

Memoket may change prices, plan features, billing methods, trial terms, promotional terms, and these Payment Terms prospectively. For store-billed subscriptions, price changes, renewal consent, notice, and effective timing are subject to the applicable store's rules and any required user consent.

If you do not agree to a future price or plan change, you may cancel before the change takes effect through the applicable cancellation process. Whether existing subscribers receive grandfathered pricing, migration treatment, or promotional protection depends on the purchase channel and Memoket's stated offer.

18. Governing Law for Payment Matters

Payment-related disputes are governed by the governing-law and dispute-resolution provisions in Memoket's main user terms or other applicable terms.
